Terms of Service

KreddyPay Tech Private Limited ("KreddyPay", "Company", "we", "our", or "us") operates a technology platform that facilitates digital payment management, invoice tracking, credit-payment coordination, collection automation, and related services between distributors, retailers, financial institutions, payment service providers, and other ecosystem participants.

KreddyPay is not a bank, non-banking financial company (NBFC), or lender unless specifically stated for a particular service.

To use the Platform, you must:

• Be at least 18 years of age;
• Have the legal capacity to enter into binding contracts;
• Operate a lawful business where applicable;
• Provide accurate and complete registration information.

KreddyPay reserves the right to refuse, suspend, or terminate access if eligibility requirements are not met.

Users may be required to provide:

• Name and contact details;
• Business information;
• GST details;
• PAN details;
• Bank account information;
• KYC documents;
• Any additional information reasonably required for verification.

You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted through your account.

The Platform may provide:

• Digital invoice management;
• Payment scheduling and reminders;
• Kreddy Smart Pay services;
• Collection management;
• Transaction reporting;
• Credit-performance analytics;
• Distributor-retailer payment coordination;
• Integration with payment and financial service providers;
• Business insights and risk assessment tools.

KreddyPay acts solely as a technology service provider and facilitator. KreddyPay does not guarantee credit approval, financing, product delivery, product quality, or commercial performance of any transaction.

Distributors agree that they:

• Are solely responsible for goods supplied;
• Will upload accurate invoice and transaction information;
• Will comply with all tax and regulatory obligations;
• Will resolve product-related disputes directly with retailers.

KreddyPay shall not be responsible for product shortages, damages, returns, warranties, pricing disputes, or commercial disagreements.

Retailers agree that:

• Invoice acceptance confirms receipt and verification of goods;
• Accepted invoices may create legally binding payment obligations;
• Sufficient funds will be maintained for authorized payments;
• They will not intentionally evade payment obligations.

Retailers remain solely responsible for payment obligations arising from transactions with distributors.

By enrolling in Kreddy Smart Pay, the user:

• Authorizes recurring or scheduled payments through UPI AutoPay or approved payment systems;
• Authorizes participating banks and payment partners to process debits as instructed;
• Acknowledges that payment failures may result in additional charges imposed by banking or payment partners;
• Understands that cancellation of mandates may affect access to Platform services.

Users are responsible for maintaining sufficient account balances to honor payment obligations.

Where financing services are made available through partner financial institutions:

• Credit decisions are solely made by the financial institution;
• KreddyPay does not guarantee approval or disbursement;
• Interest rates, fees, and financing terms are determined by the financial institution;
• KreddyPay acts only as a technology and facilitation platform.

KreddyPay may charge:

• Platform usage fees;
• Subscription fees;
• Transaction processing fees;
• Kreddy Smart Pay setup or maintenance charges;
• Service charges;
• Other fees disclosed on the Platform.

KreddyPay reserves the right to modify fees at any time by providing reasonable notice. All applicable taxes shall be charged in addition to the stated fees.

Use of the Platform is subject to the KreddyPay Privacy Policy. By using the Platform, users consent to the collection, storage, processing, and sharing of information necessary for:

• Service delivery;
• Compliance obligations;
• Fraud prevention;
• Risk assessment;
• Payment processing;
• Platform improvement.

Users shall not:

• Provide false information;
• Upload fake or manipulated invoices;
• Commit fraud;
• Misuse payment systems;
• Interfere with Platform operations;
• Introduce malicious software;
• Violate any applicable law or regulation.

All intellectual property rights relating to the Platform, including software, trademarks, logos, content, reports, designs, and analytics, belong exclusively to KreddyPay or its licensors.

Users shall not copy, reproduce, modify, distribute, reverse engineer, or commercially exploit any portion of the Platform without prior written consent.

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis. KreddyPay does not warrant that:

• The Platform will operate uninterrupted;
• Services will be error-free;
• Third-party integrations will remain continuously available;
• Information provided by third parties will always be accurate.

Users utilize the Platform at their own risk.

To the maximum extent permitted by law, KreddyPay shall not be liable for:

• Indirect or consequential losses;
• Loss of profits;
• Loss of business opportunities;
• Business interruption;
• Disputes between distributors and retailers;
• Actions or omissions of financial institutions, payment providers, or third parties.

In no event shall KreddyPay's total liability exceed the total fees paid by the user to KreddyPay during the preceding twelve (12) months.

Users agree to indemnify and hold harmless KreddyPay, its directors, officers, employees, and affiliates against any claims, damages, liabilities, penalties, costs, or expenses arising from:

• Violation of these Terms;
• Misrepresentation;
• Fraudulent conduct;
• Breach of applicable laws;
• Commercial disputes between users.

KreddyPay may suspend or terminate access to the Platform at any time if:

• These Terms are violated;
• Fraud or suspicious activity is detected;
• Required information is inaccurate or incomplete;
• Regulatory obligations require such action.

Termination shall not affect accrued rights or obligations.

KreddyPay shall not be liable for delays or failures resulting from events beyond its reasonable control, including:

• Natural disasters;
• Government actions;
• Network failures;
• Banking system outages;
• Cybersecurity incidents;
• Telecommunications disruptions.

These Terms shall be governed by and construed in accordance with the laws of India.

Any dispute arising out of or relating to these Terms shall first be attempted to be resolved amicably. If unresolved within thirty (30) days, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996.

• The seat and venue of arbitration shall be Vijayapura, Karnataka, India.
• The arbitration proceedings shall be conducted in English.
• Subject to the above, courts located in Vijayapura, Karnataka shall have exclusive jurisdiction.

KreddyPay may revise these Terms from time to time. Updated Terms will be published on the Platform with a revised Effective Date. Continued use of the Platform after such publication constitutes acceptance of the revised Terms.
